Andrew J. Piunti

Andrew (Drew) Piunti, the principal of the DPA Law PC.  He brings more than 25 years of legal transactional experience counseling start-ups, small and medium sized businesses, and entrepreneurs. He is highly accomplished representing privately held companies in transactions with Fortune 500 and other public companies. While passionate about protecting his clients’ interests (legal and business) in B2B contracts and business purchase/sale transactions, he creatively achieves results that work for both parties.

Before organizing DPA Law PC, Drew practiced with the corporate and securities group of Pillsbury Winthrop Shaw Pittman’s Silicon Valley office. For certain core clients he serves as outsourced general counsel handling all manners of day-to-day legal support from board and shareholder resolutions, stock incentive plans, and NDAs to partnering and employment agreements. He regularly works with a network of contracted legal specialists as appropriate. Drew maintains close relations with CPAs and business brokers.

Representative recent experience

• Reorganize C Corp to LLC: in coordination with client’s CPA, tax efficiently convert through an “F‑reorg” a national insurance brokerage from S-Corp to LLC with two classes of equity securities and a management structure to balance the interests of legacy founders and key producer equity holders
• Purchase of Amazon distribution route: represent buyer – a business broker acting for his personal portfolio – in the asset purchase of a large greater San Jose area Amazon distribution route
• Negotiate SaaS subscription agreements: on behalf of venture backed Insuretech SaaS provider, draft and negotiate its subscription, service, and data processing agreement with insurance company clients
• Organize App startup: organize as Delaware corporation dating App background check/anti-catfish startup, support pre-seed financing through SAFEs, and provide contract support – inbound service agreements, online B2C terms and conditions, and B2B service agreements with dating App providers
• Seed financing for flying-car startup: in preparation for series seed preferred stock financing, cleanup corporate governance items, amend certificate of incorporation, and restructure founder stock holdings to permit appropriate 83b elections in connection with share vesting; conduct series seed financing with VCs including Draper Associates
• Represent buyer in franchise resale: organize California LLC as acquisition vehicle and represent LLC in purchase of assets from franchisee of national franchise operating in greater San Francisco bay area
• Contract support for professional service providers: negotiate outsourced service and data processing agreements for regional, national, and international software developers, App developers, and stock plan administrator
• Establish LLCs for individual tech service providers: for tech service providers, assess confidentiality and invention assignment agreement with former employers, organize a single member California LLCs, and provide a template master service and in-bound subcontractor agreements
• Draft volume sales agreements: for privately held analog ASIC semiconductor manufacturer, negotiate and draft series of volume purchase agreements for offshore customers
