Forming Corporations and Advising Startup Companies
DPA Law Group organizes, on average, one startup company per week. Our startup clients often come to us as self-funded entrepreneurs operating within the greater San Jose/Silicon Valley area of Northern California. Most organize technology and Internet-based companies. Other times we are approached by off-shore companies seeking to establish a presence in Silicon Valley by organizing either a California or Delaware subsidiary. Prospective clients frequently seek initial guidance on the appropriate form of business entity and the appropriate state within which to organize.
DPA Law Group will quote a fixed fee for complete start-up services. This generally requires our first assessing three primary factors:
- The likely equity (ownership) structure (one or multiple founders, or domestic subsidiary; presence or absence of an immediate need to issue convertible debt or establish employee stock incentive plan);

The most likely appropriate form of business entity (often a C or S corporation, sometimes an LLC); and,
- The likely appropriate state for organization (typically, California or Delaware, but sometimes Nevada)
